1. Introduction

These Terms of Use ("Terms") govern access to and use of the Respocare Connect AI platform ("the Platform").

The Platform is owned and operated by Respocare (Pty) Ltd, a South African registered medical services company operating under applicable healthcare and professional regulations.

By accessing or using the Platform, the user agrees to these Terms.

If you do not agree, you must not access or use the Platform.

2. Nature of the Platform

Respocare Connect AI is a clinical information support system designed to assist licensed medical professionals with:

  • clinical documentation
  • record summarisation
  • information retrieval from patient records
  • clinical workflow support

The Platform may include features such as:

  • an AI clinical assistant
  • a medical AI scribe
  • document analysis tools
  • structured clinical note generation
  • secure clinical data storage

The Platform does not provide medical treatment, diagnosis, or clinical decision-making authority.

3. Clinical Responsibility

The user acknowledges and agrees that:

  • The Platform does not replace professional medical judgement.
  • All clinical decisions remain the sole responsibility of the licensed healthcare professional using the Platform.
  • Any outputs generated by the Platform must be reviewed, verified, and approved by the clinician before use in clinical care.
  • Respocare Connect AI functions solely as a clinical decision-support tool.

4. Eligibility

The Platform is intended exclusively for:

  • licensed healthcare professionals
  • authorised clinical staff working under supervision
  • healthcare organisations and clinics

Users may be required to verify:

  • professional credentials
  • practice affiliation
  • regulatory eligibility

Respocare reserves the right to suspend access where eligibility cannot be verified.

5. Ownership of Data

All patient data uploaded or entered into the Platform remains the property of the clinic or healthcare provider acting as the data controller.

Respocare acts solely as a data processor providing technical infrastructure.

Respocare does not claim ownership of:

  • patient records
  • clinical documentation
  • uploaded files
  • clinician notes

Respocare will not sell, rent, or commercially exploit patient data.

6. Data Protection & Privacy

Respocare Connect AI is designed to operate in alignment with international healthcare data protection principles, including:

  • POPIA (Protection of Personal Information Act – South Africa)
  • HIPAA-aligned security principles
  • GDPR controller/processor concepts

Security measures include:

  • encryption in transit and at rest
  • strict access control
  • role-based access
  • database-level isolation between users

Patient data is stored securely in the platform's controlled infrastructure.

7. AI System Behaviour

Artificial intelligence features within the Platform are designed to:

  • summarise existing records
  • assist with documentation drafting
  • retrieve relevant information
  • organise clinical data

AI systems within the Platform:

  • do not diagnose
  • do not prescribe treatment
  • do not make autonomous clinical decisions
  • do not replace clinician oversight

All outputs must be reviewed and approved by the clinician before being relied upon.

8. System Availability

Respocare will make reasonable efforts to maintain reliable platform availability.

However, the Platform may experience:

  • temporary interruptions
  • maintenance periods
  • infrastructure upgrades

Respocare does not guarantee uninterrupted service.

The Platform should not be relied upon as the sole system for patient record storage or clinical decision making.

9. Limitation of Liability

To the maximum extent permitted by law:

Respocare (Pty) Ltd shall not be liable for:

  • clinical decisions made by users
  • misuse of the Platform
  • incorrect interpretation of AI outputs
  • failure of the user to verify generated information
  • loss of business or professional revenue
  • indirect or consequential damages

Users agree that clinical responsibility remains with the treating healthcare professional.

10. User Responsibilities

Users agree that they will:

  • use the Platform only for legitimate clinical purposes
  • protect login credentials
  • comply with applicable healthcare laws
  • ensure patient consent where required
  • verify all generated documentation

Users must not:

  • upload unlawful content
  • attempt to access other users' data
  • reverse engineer the system
  • use the system for non-clinical purposes

11. Intellectual Property

All intellectual property relating to the Platform remains the property of Respocare (Pty) Ltd.

This includes:

  • software architecture
  • AI workflows
  • system design
  • user interface
  • documentation

Users are granted a limited licence to use the Platform for authorised clinical purposes only.

12. Regulatory Position

Respocare Connect AI is intended to function as a clinical support tool.

It is not intended to operate as:

  • an autonomous diagnostic system
  • a medical device performing independent clinical decisions
  • a replacement for professional judgement

Where regulatory frameworks apply, the Platform will operate in accordance with applicable healthcare technology standards.

13. Suspension or Termination

Respocare may suspend or terminate access where:

  • misuse of the Platform is detected
  • security risks arise
  • legal obligations require it
  • the user breaches these Terms

Clinics retain the right to export their data where legally permitted.

14. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

Any disputes shall fall under the jurisdiction of the competent courts of South Africa unless otherwise required by international regulatory obligations.

15. Updates to Terms

Respocare may update these Terms periodically.

Users will be notified of material changes through:

  • platform notifications
  • email communication
  • updated acceptance prompts

Continued use of the Platform constitutes acceptance of updated Terms.
